  12. NOTICE TO SHAREWARE DISTRIBUTORS ("DISTRIBUTOR"):  CAREFULLY READ 
  13. THE FOLLOWING LEGAL AGREEMENT.  DISTRIBUTOR'S RIGHT TO DISTRIBUTE 
  14. THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE BY DISTRIBUTOR WITH 
  15. THE TERMS OF THIS AGREEMENT.

  17. 1.       LICENSE GRANT.  Ethosoft, Inc. ("Ethosoft") grants to Distributor 
  18. a nonexclusive, worldwide right to distribute the object code version of 
  19. the Software as shareware.  This license to distribute the Software is 
  20. conditioned upon Distributor's compliance with the terms of this Agreement.  
  21. Distributor will not copy the Software except as necessary to use it 
  22. in accordance with this license, and Distributor is granted no right to 
  23. modify or sublicense the Software.  Distributor may download the Software 
  24. files from the ETHOSOFT Forum on CompuServe (GO ETHOSOFT) or the Ethosoft 
  25. web site (www.ethosoft.com).  All files of this Software must be
  26. distributed bundled together, either by distributing a copy of the
  27. original .ZIP file or by unzipping the entire contents of the .ZIP file
  28. onto a diskette.  All Software distribution must be via diskettes (which
  29. are either write-protected or notchless) or electronic transmission 
  30. (in which case the original archive file from Ethosoft must be used).  
  31. Distributor is prohibited from installing copies of the Software on hard 
  32. drives and distributing such hard drives.
  33.  
  34. 2.       NO SUBLICENSE FEE.  Shareware Distributors may not charge their 
  35. customers for the Software other than a nominal fee for the diskette and 
  36. must make clear on the diskette package and diskette.label that the Software 
  37. on the diskette is for evaluation purposes only, and that its use beyond 
  38. 30 days requires a valid license or registration through Ethosoft, Inc. or 
  39. an Authorized Ethosoft Support center. Shareware Distributors agree not 
  40. to offer any service or subscription that includes updates of Ethosoft 
  41. Software.  Such access to, or provision of, Ethosoft Software updates is 
  42. a benefit of properly licensing the Software through Ethosoft, Inc. or 
  43. an Authorized Agent. All registration and licensing opportunities shall 
  44. be referred to Ethosoft, Inc. or to an Authorized Agent.

  46. 3.       COPYRIGHT.  The Software is protected by United States copyright 
  47. laws and international treaty provisions.  Distributor acknowledges that 
  48. no title to the intellectual property in the Software is transferred to 
  49. Distributor.  Distributor further acknowledges that full ownership rights 
  50. to the Software will remain the exclusive property of Ethosoft or its 
  51. suppliers, and Distributor will not acquire any rights to the Software 
  52. except as expressly set forth in this license.  Distributor agrees that 
  53. any copies of the Software made by Distributor will contain the same 
  54. proprietary notices which appear on and in the Software.

  56. 4.       REVERSE ENGINEERING.  Distributor agrees that it will not attempt, 
  57. and will use its best efforts to prevent its employees from attempting 
  58. to reverse compile, modify, translate or disassemble the Software in whole 
  59. or in part.

  61. 5.       LIMITED END USER WARRANTY.  Ethosoft warrants the Software 
  62. TO END USERS ONLY pursuant to the terms and conditions of the end user 
  63. license and no warranty is extended to Distributor.  In the event 
  64. the Software does not conform to the limited warranty described in the 
  65. end user license, Ethosoft will provide the end user with a solution in 
  66. accordance with the terms of the end user license.  Distributor agrees to 
  67. provide Ethosoft with reasonable assistance in providing warranty assistance 
  68. to end users.

  70. 6.       NO OTHER WARRANTIES.  ETHOSOFT DOES NOT WARRANT THAT THE 
  71. SOFTWARE IS ERROR FREE.  EXCEPT FOR THE EXPRESS WARRANTIES GRANTED 
  72. TO THE END USER IN THE END USER LICENSE AGREEMENT, ETHOSOFT 
  73. DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, 
  74. EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED 
  75. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE 
  76. AND NONINFRINGEMENT OF THIRD PARTY RIGHTS.

  78. 7.       SEVERABILITY.  In the event of invalidity of any provision of 
  79. this license, the parties agree that such invalidity shall not affect the 
  80. validity of the remaining portions of this license.
  81.  
  82. 8.       NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT 
  83. SHALL ETHOSOFT OR ITS SUPPLIERS BE LIABLE FOR CONSEQUENTIAL, 
  84. INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE 
  85. DELIVERY, PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF ETHOSOFT 
  86. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  88. 9.       EXPORT.  Distributor agrees that it will not export or re-export 
  89. the Software to North Korea, Vietnam, Cuba, Iran or Iraq without the 
  90. appropriate United States or foreign government licenses.
  91.  
  92. 10.      GOVERNING LAW.  This Agreement will be governed by the laws of 
  93. the State of Massachusetts.  The United Nations Convention on Contracts 
  94. for the International Sale of Goods is specifically disclaimed.
  95.  
  96. 11.      U.S. GOVERNMENT RESTRICTED RIGHTS.  If Distributor provides 
  97. the Software for use by DoD, Distributor agrees to insure that use, 
  98. duplication or disclosure by the Government will be subject to the terms 
  99. of this Agreement unless superseded by 252.227-7013(c)(1)(ii).  If 
  100. Distributor provides the Software for use by civilian agencies, Distributor 
  101. agrees to insure that use, reproduction or disclosure is subject to the terms 
  102. of this Agreement unless superseded by 52.227-19. 
  103.  
  104. 12.      ENTIRE AGREEMENT.  This Agreement constitutes the entire agreement 
  105. between Distributor and Ethosoft which supersedes any prior agreement, 
  106. including any prior license from Ethosoft, or understanding, whether written 
  107. or oral, relating to the subject matter of this Agreement.
